1. About us
CEPos (“cepos”, “we”, “us” or “our”) is a trading name of Paymentsave Ltd, a private limited company registered in England and Wales under company number 09872986. Our registered office is Unit 4 Stanton Gate, 49 Mawney Road, Essex, England, RM7 7HL.
2. Scope of these terms
These terms apply to your use of this website and, unless a separate signed agreement says otherwise, to services we supply including custom EPOS software development, bespoke business software, digital marketing, graphic design, menu and leaflet design, signage concepts, and photo or video editing.
If a proposal, statement of work or signed agreement conflicts with these terms, the signed document takes priority for that project.
3. Proposals and project formation
A project begins when you accept our written proposal or statement of work. It will normally describe the deliverables, assumptions, timetable, charges, revision allowance and any ongoing support. Estimates are based on information available when prepared and may change if the scope or requirements change.
4. Client responsibilities
You agree to provide accurate requirements, suitable access, lawful content, prompt decisions and feedback, and any materials needed for the project. You confirm that you have permission to supply all text, images, branding, data and other materials you give us.
Delays in receiving information, approvals or access may affect delivery dates and may require a revised timetable or quotation.
5. Charges and invoices
Charges, deposits, milestones, recurring fees and invoice dates will be set out in the relevant proposal or agreement. Invoices must be settled by the due date shown. We may pause work or access to hosted services where an undisputed invoice remains overdue after reasonable notice.
Unless stated otherwise, quoted charges exclude VAT and third-party costs such as hosting, licences, stock assets, advertising spend, printing and platform subscriptions.
6. Changes, revisions and acceptance
Reasonable revisions included in the agreed scope will be handled as described in the proposal. Additional features, revisions or work outside scope may require a written change request, additional charges and a new delivery date.
You should review deliverables promptly. A deliverable will be treated as accepted when you confirm acceptance, use it in a live environment, or do not report a material issue within the review period stated in the proposal.
7. Intellectual property
Each party keeps ownership of materials it owned before the project. Unless the proposal says otherwise, once all related invoices are settled, you receive the rights specifically stated for the final deliverables.
We retain ownership of our pre-existing methods, frameworks, reusable code, development tools, know-how, templates and generic components. Where these are included in a deliverable, we grant you a non-exclusive licence to use them as part of that deliverable. Third-party materials remain subject to their own licence terms.
8. Third-party services
A project may rely on third-party platforms, APIs, hosting, fonts, plugins, licences or online services. Their availability, rules and performance are outside our control. You are responsible for complying with their terms and maintaining any accounts or subscriptions assigned to you.
9. Confidentiality and data protection
Each party will take reasonable care of confidential information received from the other and use it only for the project or as required by law. Personal information is handled in accordance with our Privacy Policy. Where we process personal information solely on your documented instructions, additional data-processing terms may be required.
10. Warranties and support
We will provide services with reasonable care and skill. We do not promise that software or online services will be uninterrupted or entirely free from defects, or that marketing activity will achieve a particular ranking, reach, lead volume or commercial result.
Any maintenance, service levels, defect period or ongoing support will be as stated in the relevant proposal or support agreement.
11. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that, neither party will be liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill, opportunity or data. Our total liability arising from a project will not exceed the total charges paid or payable for that project during the 12 months before the event giving rise to the claim.
You are responsible for maintaining appropriate backups, security controls and business continuity arrangements for your own systems and data.
12. Ending a project
Either party may end a project as allowed by the proposal or agreement. A party may also end it for a serious breach that is not corrected within a reasonable written notice period, or immediately where the other party becomes insolvent.
On termination, you must settle charges for completed work, committed third-party costs and work reasonably performed up to the termination date. Provisions intended to continue—such as confidentiality, intellectual property and liability—will remain effective.
13. General
Neither party is responsible for delay caused by events outside its reasonable control. Neither party may transfer a project agreement without the other party’s written consent, except as part of a genuine business reorganisation or sale. If any provision is unenforceable, the rest remains effective. A delay in enforcing a right does not waive it.
These terms and each project are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, unless applicable law requires otherwise.
We may update these website terms from time to time. The effective date shown above identifies the current version. Changes will not retrospectively alter a signed project agreement.
